Ms. Zhang has extensive experience in real estate involving the acquisition, financing investment, development, construction, operation, leasing, sale, property management, transfer, mortgage, registration of industrial, commercial and residential properties. Moreover, Ms. Zhang is expert in mergers and acquisitions; equity transferring; corporation setting up, corporation change, labor and personnel etc.

Work Experience and Outstanding Achievements

Years of work experience as legal advisor in a reputable management consulting firm and China Youth Travel Group Shanghai Holding Co., Ltd., .Ms. Zhang was assigned more responsibilities to handle plentiful legal affairs by drafting and reviewing legal documents; making due diligence, providing legal opinions, taking part in negotiations etc. successfully controlled legal risk under enterprise operation. Main projects which Ms. Zhang had handled or participated in as follows:

·Providing full legal service on development, construction, office leasing, property management of Huaihai Plaza.

·Providing legal support on pre-development of Wujiang Meditation Garden Hotel ,Right Bank Residential Project, Xuhang Newtown.

·Making due diligence about Plot No. 1788 Nanjing West Road Project , WuhanTanliPlaza.

·Participating in the acquisition of Wuhan Hankou Hotel.

·Taking part in the negotiations on real estate project financing between a corporation and famous international investment banks, such as Morgan Stanley ,Goldman Sachs, Meanwhile, reviewing related legal documents.

·Advising a corporation on entrusted matters of office agency which is between the corporation and DTZ.

·Taking part in the negotiations on hotel management between a corporation and Howard Johnson international china, Meanwhile reviewing and amending related agreement and contract.

·Providing full legal service for a Sino-Japanese joint venture restructuring into a limited liability company.

·Handling legal affairs involving setting up, change, equity transfer, capital increase of China Youth Travel Group Shanghai Holding Co., Ltd .and its subsidiaries

·Advising enterprises on rules and regulations involving labor and personnel, labor contract, labor disputes.
